Expertix AI is a platform that provides AI-powered expert panel services, allowing users to:

• Create custom AI experts with specialized knowledge and communication styles
• Engage in conversations with multiple AI experts simultaneously
• Upload and process documents for expert analysis
• Access collaborative intelligence through expert interactions
• Manage chat history and expert libraries

3. User Accounts and Authentication

Account creation and management is handled through Clerk, our authentication provider. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and current information

4. Subscription and Billing

4.1 Credit-Based System

Expertix AI operates on a credit-based subscription model:

• Free Plan: Limited credits for basic functionality
• Paid Plans: Monthly or annual subscriptions with increased credit allowances
• Credit System: Credits are consumed for AI expert interactions and document processing
• Payment Processing: All payments are processed securely through Stripe
• Auto-renewal: Subscriptions automatically renew unless cancelled

4.2 Refunds and Cancellation

• 7-day refund period: First-time subscribers may cancel within 7 days for a full refund
• General policy: Subscription fees are otherwise non-refundable except as required by law
• Cancellation: You can cancel your subscription at any time to prevent future charges
• Price changes: We may change subscription prices with 30 days' advance notice

5. User Content and Expert Creation

5.1 Ownership and Rights

• You retain ownership of content you create, including custom AI experts
• Custom experts are private to your account unless explicitly shared
• You grant us a non-exclusive, worldwide license to use your content solely to provide and improve the Service
• We do not use your personal data or content to train AI models

5.2 Prohibited Expert Types

Expertix AI explicitly prohibits and does not facilitate the provision of professional advice requiring licensure.

You agree not to create AI experts that:

• Impersonate licensed professionals (doctors, lawyers, financial advisors, therapists, psychologists, etc.)
• Provide advice in regulated professional domains requiring licensure
• Claim to offer professional services requiring certification or legal authorization
• Provide medical, legal, financial, or therapeutic advice

6. Acceptable Use Policy

You agree not to:

• Create experts or content that promotes illegal activities
• Generate harmful, abusive, or discriminatory content
• Attempt to extract or reverse engineer our AI models
• Share account credentials or attempt to circumvent usage limits
• Upload malicious files or attempt to compromise system security
• Create experts that impersonate real individuals without consent
• Use the Service in violation of export control laws or AI regulations
• Engage in any activity that could damage or impair the Service

7. AI Content and Disclaimers

7.1 Critical AI Warnings

• AI experts are educational tools only - they cannot replace qualified human professionals
• AI content may contain errors - information may be inaccurate, biased, incomplete, or outdated
• Verify important information independently through qualified sources and professionals
• No AI expert is licensed to provide professional services
• We do not guarantee accuracy of any AI-generated content

7.2 User Responsibility

You acknowledge that you use AI-generated content at your own risk and will not rely on AI advice for critical decisions.

8. Data Processing and Third-Party Services

Our Service integrates with third-party providers:

• Clerk: User authentication and management
• Stripe: Payment processing and subscription management
• AI Providers: Google AI, Anthropic, OpenAI, and/or xAI for expert functionality
• Vercel: Platform hosting and file storage
• PostgreSQL: Database services

Data Transfers: Your data may be processed by third-party providers located outside Australia, including in the United States, in accordance with our Privacy Policy.

9. Consumer Rights

9.1 Australian Consumer Rights

If you are a consumer under Australian Consumer Law, you have statutory rights that cannot be excluded, including rights relating to consumer guarantees. Nothing in these Terms excludes, restricts, or modifies the application of Australian Consumer Law.

9.2 International Users

9.3 US Users

Arbitration Agreement: Any disputes shall be subject to binding arbitration under American Arbitration Association rules, except where prohibited by law. You agree to resolve disputes individually and waive rights to class action lawsuits, except where prohibited by applicable state law.

California residents have additional rights under the California Consumer Privacy Act (CCPA).

10. Intellectual Property

The Service and its original content are owned by Expertix AI and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary technology. User-generated content remains owned by you. We respond to valid takedown notices under applicable laws.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERTIX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Exceptions

This limitation does not apply to:

• Our gross negligence or willful misconduct
• Data breaches resulting from our failure to implement reasonable security measures
• Death or personal injury caused by our negligence
• Rights that cannot be excluded under applicable consumer protection laws

Maximum Liability: Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Service Availability and Force Majeure

We strive to maintain high service availability but cannot guarantee uninterrupted access. We shall not be liable for delays or failures due to causes outside our reasonable control, including natural disasters, cyber attacks, government actions, or infrastructure failures.

13. Account Termination

We may terminate your account for violations of these Terms, illegal activities, or non-payment. Upon termination:

• Your access ceases immediately
• You may download your data where technically feasible
• We may delete your data after 90 days
• Outstanding payment obligations remain

14. Changes to Terms

We may modify these Terms with 30 days' advance notice via email or through the Service. Continued use constitutes acceptance of new Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Disputes shall be subject to the jurisdiction of Victorian courts, except where consumer protection laws provide otherwise.

Before formal legal action, parties agree to attempt good faith resolution through direct communication.
